Terms of Service

The rules that govern your use of Pleep’s multi-currency wallets, payments, cards, conversions, and AI-powered experiences.

1. Agreement to These Terms

These Terms of Service (“Terms”) form a binding agreement between you and Pleep governing access to and use of the Services. By creating an account, accessing the app or website, or instructing Pleep through supported messaging channels, you agree to these Terms and our Privacy Policy and Acceptable Use Policy.

Pleep is a financial technology company, not a bank. Regulated services—including banking rails, payment processing, virtual accounts, virtual cards, and identity verification—are provided through licensed partners.

2. Eligibility and Account Opening

You must be legally capable of entering a binding contract and meet any age, residency, and regulatory requirements applicable in your jurisdiction. Businesses must be duly organized and represented by an authorized person.

You agree to provide accurate, complete, and current information during onboarding and to keep it updated. We may refuse, suspend, or close accounts that fail verification or present unacceptable risk.

3. Identity Verification (KYC)

Access to certain features depends on successful identity verification. Verification may include BVN, NIN, government ID, passport, driver’s license, address verification, liveness/facial checks, proof of address, business verification, and enhanced due diligence.

Verification is performed using licensed identity providers. Feature limits, transaction thresholds, and product availability may vary by verification level and jurisdiction.

4. Description of Services

Subject to eligibility, verification, partner availability, and applicable law, Pleep may provide:

  • Multi-currency wallets (including NGN, USD, KES, GHS, ZAR, USDT, USDC, BTC, and other supported assets)
  • Cross-border payments across supported African corridors with settlement to banks, mobile money, or Pleep wallets
  • Local transfers, requests, notifications, and transaction history
  • Virtual dollar cards for eligible online and subscription spend through licensed issuers
  • Stablecoin and crypto wallets, deposits, transfers, and conversions where supported
  • Fiat ↔ stablecoin and fiat ↔ fiat currency exchange at displayed rates
  • AI payment experiences (initially via WhatsApp, with possible expansion to other channels)
  • Wallet management tools, statements, receipts, beneficiaries, and related account controls
  • Business tools and APIs as they become available

5. AI Payment Assistant

Pleep’s AI experiences allow authenticated users to send money, check balances, view history, confirm payments, and manage certain wallet activities through conversational interfaces.

The assistant acts only on authenticated instructions. You are responsible for protecting access to your messaging accounts and for carefully reviewing confirmations before authorizing transactions. Pleep is not responsible for losses arising from unauthorized access to your messaging channel or from instructions you approve.

6. Virtual Cards

Virtual cards are issued by licensed partners. Availability depends on verification level, jurisdiction, and issuer policies. Cards may be used for eligible online merchants and subscriptions, subject to merchant acceptance, network rules, and issuer restrictions.

You must not use cards for prohibited purposes described in the Acceptable Use Policy. We or our partners may decline, freeze, or cancel cards to manage risk or comply with law.

7. Crypto and Stablecoin Services

Supported digital assets and networks may change. Pleep does not guarantee support for every blockchain network. Blockchain transactions can be irreversible, delayed, or fail due to network conditions outside our control.

Digital asset values can be volatile. Conversions are executed at rates shown before confirmation, which may change until you confirm. You are solely responsible for assessing market, liquidity, and technology risks.

8. Fees, Rates, and Taxes

Fees, spreads, and FX rates applicable to a transaction are disclosed in the Services before you confirm where practicable. Network fees, partner charges, or intermediary bank fees may apply.

You are responsible for any taxes arising from your use of the Services. Pleep does not provide tax advice.

9. Chargebacks, Reversals, and Errors

Where a payment network or partner permits disputes, chargebacks, or reversals, we will handle them according to applicable rules. You agree to cooperate with investigations and provide requested information promptly.

If we credit your account in error or as a result of fraud or unauthorized activity, we may reverse the credit and recover amounts owed, including by debiting balances where permitted by law.

10. Suspension and Termination

We may suspend, restrict, or terminate access to the Services—including wallets, cards, corridors, or AI channels—if we reasonably believe you violated these Terms or the Acceptable Use Policy, failed verification, present elevated risk, or if required by law, partners, or regulators.

You may stop using the Services at any time. Closure may be subject to pending transactions, compliance holds, and residual balance handling procedures.

11. Risk Disclosures

Financial services involve risk, including FX volatility, settlement delays, partner outages, blockchain congestion, merchant declines, sanctions screening holds, and regulatory change. Past performance of rates or corridors is not a guarantee of future availability or pricing.

12. Intellectual Property

Pleep and its licensors own the Services, branding, software, and content (excluding your data). You receive a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms. You may not copy, reverse engineer, or exploit the Services except as allowed by law.

13. Disclaimers

Except as required by law, the Services are provided “as is” and “as available.” We do not warrant uninterrupted, error-free, or completely secure operation, or that partner rails will always be available for every corridor, asset, or merchant.

14. Limitation of Liability

To the maximum extent permitted by law, Pleep and its partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

Our aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the fees you paid to Pleep for the Services giving rise to the claim during the three months before the event, or (b) USD 100, except where liability cannot be limited by law.

15. Indemnity

You agree to indemnify and hold harmless Pleep and its affiliates, officers, employees, and partners from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, except where mandatory consumer protections in your place of residence require otherwise.

Before filing a formal claim, you agree to contact us and attempt to resolve the dispute in good faith. If unresolved, disputes may be submitted to binding arbitration or the competent courts in Nigeria, as permitted by applicable law.

17. Changes to These Terms

We may update these Terms periodically. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms, except where additional consent is required by law.
